TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Thrust Inc., a Delaware corporation ("Thrust," "we," "us," or "our"), governing your access to and use of the Thrust website(s), application(s), launchpad, tools, smart contracts and related features (collectively, the "Platform") and any services made available through or in connection with the Platform (together, the "Services").

By accessing or using the Platform or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Notice located at 850 New Burton Road, Suite 201, Dover DE 19904. If you do not agree to these Terms, do not access or use the Platform or Services.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION OR CLASS ARBITRATION. SEE SECTION "DISPUTE RESOLUTION."

INTRODUCTION AND SCOPE

Thrust is a technology provider. Thrust develops, maintains, operates, and provides access to the Platform and Services, which enable (a) the creation and launch of crypto assets/tokens by users or third parties; (b) discovery and interaction with tokens; (c) self-custody wallet functionality provided by third-party Turnkey; (d) staking functionality; and (e) optional third-party fiat on-ramp services provided by Swap.com. The Services may be developed, maintained, or provided in whole or in part by Thrust affiliates and third-party service providers. Supplements and additional terms may apply to specific features (e.g., staking terms, third-party terms, promotional terms). Such terms are incorporated by reference and form part of these Terms.

ELIGIBILITY

You must: (a) be at least the legal age of majority in your jurisdiction; (b) have full power and authority to enter into these Terms; (c) not be subject to sanctions or located, established, or residing in any jurisdiction where your use of the Services would be illegal or cause Thrust or any third party to violate applicable law; (d) not be on any sanctions list or prohibited persons list; and (e) comply at all times with these Terms and applicable law. If you access or use the Platform on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms and "you" refers to that entity.

BY ACCESSING OR USING THE PLATFORM OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER, TO THE FULLEST EXTENT PERMITTED BY LAW.

CHANGES TO TERMS AND SERVICES

We may modify these Terms at any time. Changes take effect when posted with the "Last Updated" date above. Your continued use constitutes acceptance. If you do not agree, you must stop using the Services. We may modify, suspend, or discontinue any portion of the Platform or Services at any time, with or without notice.

Technology Risks

The Platform and Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or compatible with all devices or software, or that defects will be corrected. We make no warranty regarding data accuracy, completeness, timeliness, or reliability, including with respect to prices, rewards, APYs, or pool parameters. Links to third-party sites or resources are provided for convenience only. Thrust does not endorse or assume responsibility for third-party content, products, or services.

No Advice; No Fiduciary

Thrust is not your broker, intermediary, agent, or advisor, and owes no fiduciary duty to you. Nothing on the Platform is investment, legal, tax, or other advice or a recommendation to buy, sell, stake, or hold any asset. You are solely responsible for your decisions and for conducting independent due diligence.

User-Generated/Third-Party Tokens

Tokens available via the Platform may be created, issued, or managed by users or third parties, not by Thrust. Thrust does not endorse, control, or guarantee any token or its attributes, legality, or value.

Where a token is launched by or associated with a celebrity, creator, influencer, or any public figure (collectively, "Celebrity"), you acknowledge:

WALLETS

Self-Custody Wallets

The Platform enables you to create or connect a self-custodied wallet ("Wallet"). You are solely responsible for your Wallet, including safeguarding private keys, seed phrases, passcodes, recovery mechanisms, and device security. Thrust does not have access to or control over your private keys and cannot recover them for you.

Wallet Provider

Wallet functionality within the application is provided by Turnkey. Your use of Turnkey's Wallet is subject to Turnkey's terms and privacy policies, which you are deemed to have accepted by using the Platform and the Services: https://www.turnkey.com/legal/terms and https://www.turnkey.com/legal/privacy. Turnkey is an independent third party; Thrust does not control and is not responsible for Turnkey's services.

Wallet Risks

You acknowledge risks of using the Wallet include: loss of private keys, seed phrases, or devices; unauthorized access; malicious software; SIM swaps; keylogging; phishing; and irreversible transactions. Any loss of access may result in permanent loss of assets. All transactions are final when recorded on-chain.

No Custody

Thrust does not custody user assets, does not take possession or control of your digital assets, and does not execute transactions on your behalf. You authorize and initiate all on-chain actions from your Wallet.

FIAT ON-RAMP

Third-Party On-Ramp

Any fiat-to-crypto on-ramp accessible via the Platform is provided by third parties, including Swapped or its affiliates ("On-Ramp"). Your use of the On-Ramp is subject to Swapped's terms, privacy policies, KYC/AML requirements, and fees: https://swapped.com/legal/ramp-tos-us; https://swapped.com/legal/ramp-tos-global and https://swapped.com/legal/privacy-policy and your use and access of the Platform and Services denotes your acceptance of such terms.

Independent Provider

Swapped is an independent third party and not controlled by Thrust. Thrust does not handle or process your fiat payments and is not responsible for onboarding, compliance, exchange rates, funding failures, chargebacks, refunds, or any issues arising from the On-Ramp.

STAKING

Staking Overview

The Platform may enable you to stake eligible tokens to one or more pools. By staking, you may be eligible to receive rewards, if any, as described below and/or in applicable staking interfaces or supplemental terms.

Rewards

Unless otherwise stated in the relevant pool interface, staking rewards (if any) are sourced from: (a) the applicable pool's reward allocation and/or emissions; and (b) any trading fees generated within that pool as disclosed in the interface. Rewards are not guaranteed, may vary over time, and may be adjusted, paused, or discontinued by Thrust or the relevant pool parameters at any time.

No Guarantee; Risks

Staking involves risks, including lock-ups, slashing (if applicable), smart contract vulnerabilities, network conditions, pool insolvency, and variable or zero rewards. You may be unable to un-stake or withdraw at desired times or amounts. Past rewards are not indicative of future results. You are solely responsible for reviewing pool parameters before staking.

Thrust Discretion

Thrust may modify staking features, eligibility, reward logic, or fees at any time. Certain pools may be created, administered, or influenced by third parties. Thrust does not guarantee the continued availability of any pool.

PRESALES

Presale Overview

The Platform offers communities the option to launch a Token Presale, a structured process designed to facilitate the sale of tokens prior to their public launch (each a "Presale Token"). A "Token Presale" is an offering conducted by a community on the Platform to sell tokens prior to their public launch, following a structured process as described herein. Each Token Presale aims to ensure fairness, transparency, and long-term commitment from all participants.

Token Presales will move through four phases on the Platform:

Phase One: Countdown Phase: Members of the community hosting the Token Presale will be able to view a live countdown through the Platform to keep them informed of the launch date of the Token Presale.

Phase Two: Active Phase: The Token Presale launches, and community members may purchase Presale Tokens until they hit their maximum buy amount, or the Token Presale is closed. Once closed, the Platform will finalize all allocations and prepare the Presale Tokens for Phase Three.

Phase Three: Lock-Up Phase: Community members that hold Presale Tokens will be able to view their Presale Tokens in the Platform, but will not be able transfer, withdraw or trade Presale Tokens for a seven (7) day lock-up period. This ensures stability and fairness for all participants.

Phase Four: Vesting Period: After the completion of the Lock-Up Phase, Presale Tokens will unlock hour by hour until all tokens are available, after a twenty-one (21) day vesting period. All participants in the Token Presale will be able to claim any unlocked portions of the Presale Tokens during Phase Four.

Presale Creation

When initiating a Token Presale, the community within the Platform defines (a) the token information and (b) the Token Presale settings. The token information must include the token name, an appropriate token ticker, a token description, as well as a token image.

The Token Presale settings shall include the price per token, the minimum buy amount, the maximum buy amount, the minimum target, and the maximum amount of token value to be sold. The price per token is fixed throughout the Token Presale, which will be considered full once all tokens allocated to the presale are sold, or if the Token Presale does not reach the minimum target, will be considered a failed Token Presale, and all participants in such Token Presale will be refunded as soon as practicable. Any minimum buy amount will reflect the smallest value any user can purchase, and any maximum buy amount will be considered in the aggregate of all transactions.

Risks and Disclaimers

Participation in a Token Presale involves significant risks, including but not limited to the volatility of digital assets, project failure, illiquidity, and regulatory changes. You acknowledge that all risks disclosed in the "RISK DISCLOSURES" section of these Terms apply equally to Token Presales and any Presale Tokens. Thrust does not guarantee the success, value, or liquidity of any presale or associated tokens, which are created and managed entirely by third-party communities. You are solely responsible for conducting your own due diligence and understanding the risks before participating in any Token Presale.

FEES; TAXES

Your use of certain Services may be subject to fees disclosed in the relevant interface at the time of use. Third parties (e.g., Turnkey, Swapped, networks/validators) may charge separate fees. You are solely responsible for all fees, including network gas fees.

Any fee or reward calculations surfaced via the Platform are indicative only unless expressly stated as final. In the absence of manifest error, our calculations are conclusive with respect to Thrust-collected fees.

You are solely responsible for determining and paying all taxes, duties, or similar assessments arising from your activities on or through the Platform and Services.

PLATFORM ACCESS

You are responsible for internet access, compatible devices, and security software.

On-chain instructions you submit are generally final and irreversible once broadcast. Thrust does not guarantee any transaction will be successfully executed or confirmed within a specific time.

Prices, data feeds, and oracles may be provided by third parties. Thrust does not warrant accuracy, timeliness, or availability. Thrust may, but is not obligated to, retain logs or records relating to your use of the Services in accordance with our Privacy Policy and applicable law.

PROHIBITED USE

THIRD-PARTY SERVICES

The Platform may integrate or reference third-party services, including Turnkey (wallet) and Swapped (fiat on-ramp). These services are provided solely by their respective providers under their own terms. Thrust does not control, endorse, or assume responsibility for any third-party service, content, product, or action.

To the maximum extent permitted by law, Thrust disclaims all liability for losses or harms arising from or relating to third parties (including Turnkey, Swapped, token issuers, oracles, indexers, RPC providers, explorers) and your reliance on or use of such services.

PRIVACY

Our collection and use of personal data are described in our Privacy Policy at https://thrust.com/privacy, which is incorporated into these Terms. You acknowledge that we may process personal data in accordance with our Privacy Policy and applicable law.

SECURITY; INCIDENTS

Your Responsibilities

You must maintain adequate security and control over your devices, Wallet credentials, private keys, seed phrases, and recovery methods. Never share passwords, private keys, or 2FA codes with anyone. Thrust will never ask for your private keys or seed phrase.

Incident Reporting

If you suspect unauthorized access, security breach, loss of keys, or fraud, you must promptly notify us at security@thrust.com and take all steps we reasonably require to mitigate harm. Thrust may request information to investigate incidents and may share information with relevant authorities or service providers as permitted by law.

INTELLECTUAL PROPERTY

Thrust IP

All rights, title, and interest in and to the Platform, Services, software, content, logos, trademarks, documentation, and related intellectual property ("Thrust IP") are owned by Thrust or its licensors. You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. No other rights are granted.

User Content and Feedback

If you upload, submit, or make available any content, data, code, artwork, or materials ("User Content"), you represent you have necessary rights and you grant Thrust a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, display, perform, adapt, modify, publish, distribute, and create derivative works for operating, improving, and providing the Services. You grant Thrust a perpetual, irrevocable license to use any feedback you provide without restriction or compensation.

NO OFFER, SOLICITATION, OR ADVICE

Nothing on or through the Platform constitutes an offer, solicitation, or recommendation to buy, sell, or hold any security, commodity, or financial instrument, or engage in any investment strategy. Thrust does not operate an exchange, broker, or dealer and does not provide investment, legal, tax, or accounting advice. Tokens may have no intrinsic value or utility and may become worthless. You should not rely on any forward-looking statements, roadmaps, or promotional materials.

SUSPENSION; TERMINATION; RESTRICTIONS

We may, at our discretion and without liability, suspend, restrict, or terminate your access at any time, with or without notice, for no reason or any reason, including where we suspect violation of these Terms, illegal activity, sanctions risk, security threats, fraud, or to comply with law or requests of authorities. Upon termination: (a) your license to use the Platform ends; (b) any open interactions you initiated may fail or become unavailable; and (c) we may retain records as required by law.

REPRESENTATIONS AND WARRANTIES

You represent and warrant at all times that:

INDEMNIFICATION

You will indemnify, defend, and hold harmless Thrust and its affiliates, and their respective directors, officers, employees, contractors, and agents, from and against any and all losses, liabilities, damages, claims, actions, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Platform or Services; (b) your violation of these Terms or applicable law; (c) your User Content; (d) your interactions with third parties (including Turnkey and Swapped); and (e) any dispute between you and any token issuer, Celebrity, or other user.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Thrust or its affiliates be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or any loss of profits, revenue, data, goodwill, or opportunity, arising out of or related to these Terms or your use of, or inability to use, the Platform or Services, whether based in contract, tort (including negligence), strict liability, statute, or otherwise, even if advised of the possibility of such damages. Without limiting the foregoing, Thrust is not liable for: (a) losses due to market volatility, slippage, MEV, oracles, liquidity, or network conditions; (b) security breaches, phishing, SIM swaps, malware, loss of keys, or unauthorized access to your Wallet; (c) errors, bugs, exploits, or vulnerabilities in smart contracts or blockchains; (d) actions or omissions of third parties (including Turnkey and Swapped); (e) delays, failed transactions, or chain reorganizations; or (f) cessation of Celebrity support or endorsements.

To the maximum extent permitted by law, Thrust's total cumulative liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (i) the total fees, if any, you paid to Thrust for the specific Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim; or (ii) USD $100. Some jurisdictions do not allow limitations on implied warranties or certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

DISPUTE RESOLUTION

Governing Law

These Terms and the rights and obligations of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services ("Dispute") shall be resolved exclusively by final and binding arbitration, except that either party may seek injunctive or equitable relief for intellectual property or confidentiality matters in a court of competent jurisdiction.

Informal Resolution

Before filing arbitration, you must provide written notice of the Dispute us at the contact specified below and engage in good-faith negotiations for at least thirty (30) days.

Arbitration

Arbitration shall be conducted under JAMS by a single arbitrator with relevant experience. The seat of arbitration shall be Dover, Delaware. The language shall be English. The arbitration shall be confidential to the extent permitted by law.

Class Action Waiver

All Disputes will be conducted only on an individual basis and not in a class, consolidated, representative, or private attorney general action. You waive any right to participate in a class or representative proceeding.

Severability.

If any portion of this Section is found unenforceable, the remainder shall remain in effect to the fullest extent permitted by law.

COMPLIANCE

You agree to comply with all applicable laws, including anti-money laundering, counter-terrorist financing, anti-corruption, sanctions, and export control laws. You represent that you are not on any sanctions list and will not use the Services for or on behalf of any prohibited person or jurisdiction.

NOTICES; COMMUNICATIONS

We may provide notices by posting to the Platform, via in-app messages, or to the email or contact information associated with your use. You consent to electronic communications.

GENERAL

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

No waiver shall be effective unless in writing. No failure or delay in exercising rights operates as a waiver.

Nothing herein creates a partnership, joint venture, employment, or agency relationship.

Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnities, limitations of liability, and dispute resolution.
